Website Terms and Conditions of Use
These Terms and Conditions ("Terms") govern your access to and use of waypoint.guru and the services it offers for planning, managing, saving, importing, exporting and sharing routes ("Services").
WaypointGuru ("WaypointGuru", "we", "us" or "our") can be contacted at contact@waypoint.guru or by post at PO BOX 38 Mansfield QLD 4122 Australia.
By accessing or using the Website or Services, you agree to these Terms. If you do not agree, you must stop using the Website and Services.
1. Eligibility and accounts
You must be legally capable of entering into a binding agreement to use the Services.
If you create an account, you agree to:
- provide accurate, current and complete information
- keep your account information up to date
- keep your login credentials confidential
- notify us promptly if you suspect unauthorised access to your account
- accept responsibility for activity that occurs under your account unless caused by our failure to take reasonable security measures
We may suspend or restrict access where reasonably necessary to protect the service, investigate misuse, or comply with law.
2. Service plans and subscriptions
WaypointGuru offers free and paid plans. Plan features, limits and pricing may change over time.
Free and paid plans
WaypointGuru currently offers:
- Basic and other promotional free plans with route storage or feature limits
- paid plans, including Standard and Premium plans, with additional features
Subscription billing
If you purchase a paid subscription:
- you authorise us and our payment processor to charge the applicable fees and taxes
- subscriptions are billed in advance on the billing cycle you choose
- subscriptions automatically renew unless cancelled before renewal
- upgrades may take effect immediately and may be prorated
- downgrades or cancellations generally take effect at the end of the current billing period unless stated otherwise
Payments are processed by Stripe. Your use of payment functionality may also be subject to Stripe's terms and policies.
Price changes
We may change pricing from time to time. For existing paid subscriptions, price changes will generally apply from the next billing period after reasonable notice unless applicable law requires otherwise.
3. Refunds
Except where required by law, subscription fees are generally non-refundable.
We may provide refunds in situations such as:
- billing errors or duplicate charges
- cancellation within the initial refund window we offer at the time of purchase
- other exceptional circumstances we choose to approve
At the time of these Terms, WaypointGuru's current operational policy includes a 4-hour initial refund window for a new paid subscription. This may change from time to time, but any rights you have under applicable consumer law are not affected.
Approved refunds are ordinarily returned to the original payment method.
4. Acceptable use
You must not:
- use the Services unlawfully or in a way that infringes another person's rights
- interfere with, disrupt, damage or abuse the Website, Services or related infrastructure
- attempt to bypass security, access controls, quotas or subscription restrictions
- use automated means to scrape, bulk extract, mirror, test or access the service in an unauthorised way
- reverse engineer or attempt to derive source code except to the extent such restriction is not permitted by law
- use the Services to distribute malware, spam, abusive content or deceptive material
- misuse the Services in a way that creates unreasonable load or harms other users
5. Route information, navigation and safety
WaypointGuru is a route-planning tool. It helps you create and export routes, but it does not guarantee that any route is safe, legal, accurate, available, accessible, suitable for your vehicle, or appropriate for current conditions.
Road conditions, closures, weather, private access restrictions, tolls, unpaved sections, map data quality and device behaviour can all affect the outcome.
You remain responsible for:
- checking local conditions and signage
- obeying laws and road rules
- using your own judgement while travelling
- ensuring any imported or exported route is suitable for your intended use
WaypointGuru is not an emergency or safety-critical navigation service.
6. User content and route data
As between you and us, you retain ownership of the content you upload to or create in WaypointGuru, such as routes, folders, GPX files and related material ("Your Content").
You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, adapt and transmit Your Content as reasonably necessary to operate, secure, improve and support the Services.
You are responsible for ensuring that you have the rights needed to upload or use Your Content.
7. Intellectual property
The Website and Services, including their software, design, branding, text, graphics, logos and other materials, are owned by or licensed to WaypointGuru and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal or internal business use in accordance with these Terms.
No other rights are granted unless we say so in writing.
8. Third-party services
The Services may rely on or interoperate with third-party services, data sources or platforms. Those third parties may have their own terms, policies, service limitations or technical behaviour.
We are not responsible for third-party services except to the extent required by law.
9. Service availability and changes
We work to keep WaypointGuru available and reliable, but we do not promise uninterrupted availability.
We may:
- add, change or remove features
- impose or adjust service limits
- carry out maintenance
- suspend or discontinue part or all of the Services
Where reasonably practicable, we will try to give notice of material adverse changes to paid Services.
10. Privacy
Your use of the Services is also governed by our Privacy Policy.
11. Australian Consumer Law and other non-excludable rights
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory guarantee or other right or remedy you may have under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.
If a law implies a guarantee, condition or warranty into these Terms and our liability for breach cannot lawfully be excluded but can be limited, then our liability is limited to the extent permitted by law.
12. Disclaimers
To the maximum extent permitted by law, and subject to clause 11:
- the Services are provided on an "as is" and "as available" basis
- we do not warrant that the Services will be uninterrupted, error-free, secure or suitable for every purpose
- we do not warrant that all map, routing, GPX, third-party or exported data will be accurate, complete, current or compatible with every device or app
13. Limitation of liability
To the maximum extent permitted by law, and subject to clause 11:
- we are not liable for any indirect, incidental, special, exemplary or consequential loss, including loss of profits, revenue, goodwill, business opportunity or data
- our total aggregate liability arising out of or in connection with the Services or these Terms is limited to the greater of:
- the amount you paid us for the relevant paid Services in the 12 months before the event giving rise to the claim, or
- if you did not pay for the Services, the cost of supplying those Services again
This limitation applies whether the claim arises in contract, tort (including negligence), statute, equity or otherwise.
14. Suspension, cancellation and termination
By you
You may:
- cancel a paid subscription at any time, usually with effect from the end of the current billing period
- stop using the Services at any time
- request deletion of your account, subject to our operational retention and recovery processes
By us
We may suspend, restrict or terminate your access if:
- you materially breach these Terms
- we reasonably suspect fraud, abuse, unlawful conduct or security risks
- we are required to do so by law
- continued provision of the Services is no longer commercially or technically feasible
We may also discontinue the Services or a plan offering on reasonable notice where practicable.
Effect of termination
On termination:
- your right to use the relevant Services ends
- some or all of Your Content may remain available for a limited period consistent with our retention processes
- clauses that by their nature should survive termination continue to apply, including clauses about intellectual property, privacy, liability and dispute resolution
15. Indemnity
To the maximum extent permitted by law, you agree to indemnify us against losses, liabilities, costs and expenses reasonably incurred in connection with:
- your unlawful use of the Services
- your infringement of another person's rights
- your material breach of these Terms
This indemnity does not apply to the extent the loss was caused by our own negligence, fraud or wilful misconduct.
16. Complaints and dispute resolution
If you have a concern or dispute, please contact us first at contact@waypoint.guru. We will try to resolve complaints in good faith and in a practical manner.
Nothing in this clause prevents either party from seeking urgent interlocutory relief or exercising a right that cannot lawfully be restricted.
17. Governing law
These Terms are governed by the laws of Queensland, Australia, unless the law of your usual place of residence requires otherwise for certain consumer rights.
You and we submit to the non-exclusive jurisdiction of the courts of Queensland, Australia, subject to any mandatory rights you may have under applicable consumer law.
18. General
If any part of these Terms is unenforceable, the remainder continues in effect.
Our failure to enforce a provision is not a waiver of that provision.
We may update these Terms from time to time by posting an updated version on the Website. The updated version takes effect from the stated "Last updated" date, unless a later date is specified.
